Most small businesses sell on a multiple of Seller's Discretionary Earnings (SDE): profit plus what the owner takes out. Use last year's numbers or your tax return.

Not sure what counts as an add-back? Use the free worksheet

Fill in what applies from last year's P&L or tax return. The total goes into "Add-backs" above. Only add back costs a new owner wouldn't have to pay.

  • Don't count the owner's salary here; it has its own box above. Add back pay and perks for one owner only. Other owners who work in the business are a real cost to a buyer.
  • Recurring costs aren't add-backs, even if they feel unusual. If it would happen again next year, leave it in.
  • Keep the receipts. Buyers and lenders ask for proof of every add-back, and unsupported ones usually get removed or lower the price.

Based on BizBuySell's guide to add-backs and CPA's guide to SDE. Your CPA or broker has the final word.

What happens after you send it, and how it stays confidential

  1. A person reads it. No automatic blast, no mailing list, and we never sell your details to lead lists.
  2. Only if you checked the consent box, we pass it to up to 3 San Diego business brokers or M&A advisors who work with businesses your size and type. Never more than 3.
  3. They reach out by phone, text, or email to ask a few questions about the business and your timeline.
  4. Ask for an NDA before you share financials. Serious brokers expect it. Also ask how they're paid and what a written valuation includes.
  5. You decide. Talking to a broker doesn't commit you to selling or listing.
Tips for staying quiet while you explore: leave your business name out of the form (industry and ZIP are enough), use a personal email, and don't tell staff, landlord, or key customers until you've chosen a broker and a plan. Word that an owner is selling can unsettle employees and customers.
Who we are: a free matching service, not a business broker, appraiser, CPA, or financial advisor. With your consent we share your request with up to 3 local brokers or advisors. Nothing here is financial, tax, or legal advice.

How are small businesses valued?

Most Main Street businesses sell for a multiple of seller's discretionary earnings, or SDE: owner pay plus profit and add-backs. BizBuySell's 2025 data shows an average of about 2.61 times SDE. Location, lease length, customer concentration, and how much the business depends on the owner move the multiple up or down.

What multiple do HVAC, auto repair, and restaurant businesses sell for?

BizBuySell's 2025 figures put HVAC businesses near 2.80 times SDE, auto repair near 2.70 times, and restaurants near 2.26 times. These are national averages, not San Diego numbers, so treat them as a starting range. A broker's opinion of value or a formal appraisal gives a firmer number.

Do I have to share my business name to get an estimate?

No. The calculator runs in your browser and needs no business name. If you ask to talk to a broker, we share only what you choose, and you can ask for an NDA before any details change hands. The estimate is free, and you are never obligated to list or sell.
